Job Description
5-15PQE lawyer with fluent Japanese and English in both oral and written. If the one requests, there is a possibility to relocate to Hong Kong.
- Provide legal support for Japan‑related strategic and engagement investments, including M&A and other complex transactions
- Act as a deal lead for investments, overseeing legal aspects from due diligence through negotiation and execution
- Manage and coordinate litigation matters in Japan, including appraisal and shareholder‑related cases
- Draft and review legal documents such as NDAs, shareholder notices, powers of attorney, and information requests
- Coordinate closely with investment teams to deliver timely, pragmatic legal advice
- Manage relationships with external counsel in Japan and globally, with a focus on cost efficiency and effective outcomes
- Support regional and global initiatives in collaboration with legal and investment teams outside Japan
- 日本における戦略投資・エンゲージメント案件（M&A等を含む）に対する法務支援
- 投資案件における法務責任者として、デューデリジェンスから交渉・実行までを担当
- 企業価値評価請求訴訟等を含む、日本関連の訴訟案件の管理・調整
- NDA、株主通知、委任状、情報提供要請書等の法的文書の作成・レビュー
- 投資チームと連携し、迅速かつ実践的な法的助言を提供
- 国内外の外部弁護士との連携およびコスト意識を持ったマネジメント
- 海外の法務・投資チームと協働し、地域・グローバル案件を支援
