Job Description

1. Key Responsibilities

  • Based in Tokyo, responsible for providing comprehensive legal support related to capital markets.
  • Reporting to the APAC Regional Legal Head (located in Hong Kong) for functional matters and the Head of Legal, Japan (located in Tokyo) for local oversight.
  • Supporting various business lines outside capital markets in transactional and advisory capacities as directed by the Head of Legal, Japan.
  • Preparing and reviewing legal documentation for capital markets (e.g., master agreements, repos, and other related contracts) in collaboration with relevant internal and external stakeholders.
  • Managing relationships with external legal counsel, ensuring their selection and engagement align with organizational needs.
  • Advising on regulatory and legal matters to support compliance with local laws, policies, and regulatory requirements.
  • Delivering legal guidance aligned with the organization’s objectives and operational needs.
  • Addressing legal and regulatory challenges with a problem-solving approach to meet business objectives.
  • Staying informed on legal, regulatory, and case law developments affecting the organization and providing updates to relevant teams.
  • Resolving disputes related to capital market transactions.
  • Contributing to strategic planning and decision-making for legal operations and processes.
  • Ensuring adherence to internal and external reporting requirements to local and regional leadership, as applicable.

2. Reporting Structure

  • Functionally reports to the APAC Regional Legal Head (based in Hong Kong) and hierarchically to the Head of Legal, Japan (based in Tokyo).

3. Key Internal Contacts

  • Collaborates with internal stakeholders, including teams and management involved in capital market activities.

4. Key External Contacts

  • Engages with counterparties’ legal/documentation teams and external legal advisors as necessary.

5. Systems Used

  • Utilizes standard IT tools commonly employed in global financial institutions.
  • Accesses internal systems, including databases and legal documentation platforms.

6. Legal and Regulatory Responsibilities

  • Ensure compliance with all applicable laws, regulations, and internal guidelines, including organizational policies and procedures. Follow established standards for operational and regulatory adherence.
  • Maintain and enhance the knowledge and qualifications necessary for the role by completing required training and staying informed about legal and regulatory updates relevant to the organization's activities.
