Job Description
We are seeking an internationally or Japan-qualified attorney with expertise in Japan capital markets and corporate law to provide legal support to an Investment Banking division.
Overview
This role involves supporting the Investment Banking business by offering legal, policy, reputational, and commercial advice as well as transactional expertise. The aim is to protect the organization while ensuring high-quality and value-driven execution of transactions.
Legal professionals in this area are engaged in nearly every investment banking and capital markets transaction and handle responsibilities that adapt to the needs of different products, industries, and regions.
The position is dynamic and evolves based on the changing requirements of the business.
Role and Responsibilities
- Legal Advisor to Investment Banking
- Serve as an internal legal advisor on a wide range of matters, including those outside transaction execution.
- Provide guidance that balances legal, policy, reputational, and commercial considerations.
- Offer advice and problem resolution, often under tight deadlines and client-sensitive circumstances.
- Financing and Merger Transactions
- Handle various securities transactions, including public and private equity offerings, debt financing, structured products, and strategic mergers.
- Assist in reviewing and negotiating engagement letters and confidentiality agreements.
- Collaborate with bankers, other internal divisions, external counsel, clients, and other market participants to manage and execute transactions effectively.
- Provide advice on transaction structuring, risk assessment, document review, and resolution of legal and procedural issues.
- Policy Development and Business Practices
- Respond to regulatory changes and advise on policy development, implementation, training, and compliance initiatives.
- Contribute to creating standardized procedures and documentation.
- New Product Development
- Assist in creating new products and transaction structures by advising on legal requirements and assessing risks.
- Facilitate coordination with various teams and act as a liaison with external counsel and regulatory bodies.
Requirements
- Internationally or Japan-qualified attorney (bengoshi) with 5–10 years of post-qualification experience (PQE).
- Preference for US or UK-qualified attorneys or Japan-qualified attorneys with significant international and domestic experience.
- Strong foundation in securities and corporate finance law and practice.
- Experience with a reputable law firm or as in-house counsel.
- Excellent Japanese and English language skills, both written and spoken.
