Job Description:

The primary objective of this role is to provide legal support, advice, and guidance across a broad range of practice areas, including corporate finance and M&A, to support the company’s corporate finance and investment banking businesses. This role involves working on a diverse array of transactions and projects spanning multiple product areas, with a main focus on cross-border transactions. A thorough understanding of the strategic direction of the business is required, combined with a solid conceptual and practical grounding in the laws and regulations for the geographies in which the company operates.

 

Key Responsibilities:

  • Provide legal counsel to senior management, control functions, and businesses on legal, regulatory, and franchise matters, ensuring that the company is appropriately addressing legal, regulatory, and franchise risks in the relevant markets.
  • Support strategic initiatives by providing subject matter expertise, interpreting relevant laws, rules, regulations, and industry practices, and advising management on legal matters impacting the business.
  • Manage resources by providing guidance and evaluating employee performance.
  • Ensure that the company's legal needs are met in a cost-effective manner by working closely with regional legal teams.
  • Develop a broad understanding of the company’s businesses in the relevant market and the major legal and regulatory risks facing those businesses.
  • Ensure business decisions are made with legal guidance, applying institutional knowledge against industry standards, laws, rules, and regulatory guidelines.
  • Advise business management on legal and regulatory risks, as well as franchise and reputational risks, to ensure that the company addresses these risks appropriately.
  • Maintain good relations with local regulators and other regulatory bodies relevant to the company’s activities.
  • Monitor key legal and regulatory developments affecting the business and ensure that management is informed of significant changes.
  • Manage day-to-day legal activities and provide advisory services to business partners.
  • Assess risk when business decisions are made, safeguarding the company's reputation, clients, and assets by driving compliance with laws, regulations, and internal policies.

 

Required Qualifications:

  • 5+ years of relevant industry experience, with experience in international law firms or in-house legal roles in financial services; prior managerial experience is preferred.
  • Excellent leadership, interpersonal, organizational, and relationship management skills.
  • Native fluency in Japanese (written and spoken) is highly preferred.
  • Proven ability to manage multiple assignments in a demanding, fast-paced environment.
  • In-depth knowledge of international laws, multi-jurisdictional regulations, and industry trends impacting the business.
  • Strong communication and negotiation skills, with the ability to build and maintain trusted relationships.
  • Bar license in good standing to practice law; US attorney license preferred.
  • Juris Doctorate or equivalent law degree.
