About the Role:
A leading global investment management firm is seeking a Vice President for its Legal function in Japan. This role will involve providing comprehensive legal support for the firm’s asset management and related business operations. The successful candidate will work closely with internal stakeholders and external legal counsel to ensure compliance and support business initiatives.
Key Responsibilities:
- Offer legal advice on Japan’s Financial Instruments and Exchange Act, the Act on Investment Trusts and Investment Corporations, industry association rules, and related laws.
- Draft and review legal documentation related to investment management agreements, local investment trusts, and ETFs.
- Advise on real estate transactions, including TMK and TK-GK schemes, as well as infrastructure and private market investments, in collaboration with external counsel.
- Provide legal support on filings for foreign investment trusts, corporations, and qualified institutional investor services for offshore limited partnerships.
- Assist with legal matters related to securities lending, transition management, and derivatives transactions.
- Offer legal advice to internal teams, including Compliance, HR, Enterprise Services, and Finance.
- Manage legal work related to intellectual property, large shareholding reporting, third-party vendor contracts, and inter-company agreements with global affiliates.
- Perform corporate secretarial duties for the Japan office and affiliates.
- Coordinate with global colleagues to address international regulatory requirements.
- Build and maintain strong relationships with external legal counsel.
Key Requirements:
- Japan-qualified lawyer (“Bengoshi”) with 3–5 years of experience at a law firm preferred.
- Experience in asset management or securities-related legal work.
- Solution-oriented with the ability to provide practical legal advice.
- Flexible and adaptable to dynamic environments.
- Strong teamwork and independent work capabilities.
- Excellent internal coordination skills, both locally and globally.
- Outstanding organizational, negotiation, and interpersonal skills.
- Meticulous attention to detail in documentation and related tasks.
- Strategic thinker with a business-oriented approach to legal advice.
- Proficient in Japanese and English, both written and verbal.
